LAMBRAKIS PRESS SA announces that

a)        The Board of Directors of LAMBRAKIS PRESS SA at its meeting on 28.9.2009 and

b)        The Board of Directors of MC HELLAS SA at its meeting on 28.9.2009

decided the merger by absorption of  100% subsidiary company MC HELLAS SA by the parent company LAMBRAKIS PRESS SA.

The merger will be conducted in accordance with the provisions of Articles 1 and 5 of Law 2166/1993 in conjunction with the provisions of Articles 69 to 78 of Codified Law 2190/20, via the absorption of the MC HELLAS SA from the LAMBRAKIS PRESS SA, according to their financial statements (balance sheets) as at 30.9.2009.

Furthermore the Board of Directors of both companies appointed their representatives to draft the merger agreement (article 69 of the CL2190/20) to sign it and to submit it to the respective Boards in order to be adopted.

Following the recent acquisition of the 100% of MC HELLAS SA by LAMBRAKIS PRESS SA, the merger of two companies was judged advantageous for both the simplification of the structure of DOL Group and the saving of resources.
